- List of US state registries from Companies House: https://www.gov.uk/government/publications/overseas-registries/overseas-registries#registries-in-the-united-states-of-america.
- The National Association of Secretaries of State has an equivalent to the above: http://www.nass.org/state-business-services/corporate-registration/
- Filings may be available from the Secretary of State where the company was Incorporated, some are searchable, other are not.
- US companies are not obliged to file accounts, unless listed.
- If unsure where the state is registered, try the SoS for the state they are based in first - sometimes it will say where the home state is (will be either Domestic or Foreign).
- Registered Agents are able to provide company documents.
- Registered Agent information can be found on the company information page (located on the Secretary of State website)
- Delaware:
- The state of Delaware does not have shareholder and/or relationship (i.e. subsidiary/affiliations) information. They do require that officers and directors be listed on the annual report.
- Orders may be placed for copies of the filed reports from the state of Delaware (via Registered Agents)
- The state fee is $10.00 for the 1st page plus $2.00 each additional page, service fees are usually $25.00 per entity. Typically, copies can be obtained same day.
- In addition to the annual reports, copies of the charter documents (i.e. incorporations, amendments, mergers, stock designations, etc.) can be provided. The state fee for plain copies is $10.00 for the 1st page plus $2.00 for each additional page.
- Certified copies, the state fee is $50.00 to certify each document plus $2.00 per page.
- The Live Support (under Contact Us) is a useful place to ask questions and get quick answers
- EDGAR is useful to obtain information on listed US companies. Check for the 10-K (annual report, esp. Item 3 - Legal Proceedings), 10-Q (quarterly report), 8-K (current info, prelim, earning statements as well as significant news that may affect an investor's decision), 13-F (good for hedge funds).
- The SEC's Beginner's Guide to Financial Statements is a very useful guide to understanding financial statements
